Terms of Service

ProperReply is operated by Fuse Studio LLC, a Delaware limited liability company (“ProperReply,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of ProperReply, including our website, application, templates, AI drafting tools, subscription plans, and related services (collectively, the “Service”).
These Terms explain the rules for using ProperReply. By creating an account, accessing the Service, or using ProperReply, you agree to these Terms. If you do not agree, do not use the Service.
1. What ProperReply Does
ProperReply helps landlords, hosts, and small property operators draft rental related messages for common communication situations, such as inquiries, rent reminders, maintenance updates, lease follow ups, move in messages, move out messages, house rules, guest messages, and similar communications.
ProperReply provides communication drafts only. You are responsible for reviewing, editing, approving, and deciding whether to send any message generated by the Service.
2. ProperReply Is Not Legal Advice
ProperReply is not a law firm and does not provide legal advice, tenant screening guidance, compliance determinations, eviction guidance, or legal document preparation services.
Messages, templates, suggestions, and AI generated outputs are provided for general communication assistance only. Rental laws, landlord tenant rules, notice requirements, deposit rules, fair housing rules, and other legal requirements vary by location and situation.
You are responsible for reviewing local laws and consulting a qualified attorney or other professional before sending sensitive messages or making rental decisions.
Use of ProperReply does not create an attorney client relationship.
3. No Professional Advice or Emergency Use
ProperReply does not provide legal, financial, tax, insurance, real estate, tenant screening, property management, or other professional advice.
ProperReply should not be used for emergencies or urgent situations. If there is an emergency, safety risk, legal deadline, utility shutoff, lockout, active leak, no heat situation, threat, or other urgent issue, contact the appropriate professional, emergency service, attorney, property manager, or local authority directly.
4. AI Generated Content
ProperReply uses artificial intelligence and related technologies to help generate and refine message drafts.
AI generated content may be inaccurate, incomplete, inappropriate, outdated, or unsuitable for your specific situation. You should not rely on AI generated content as the sole source of truth, legal guidance, compliance guidance, or professional advice.
You are solely responsible for:
- Reviewing all generated messages before sending them
- Editing messages for accuracy and context
- Ensuring messages comply with applicable laws, lease terms, platform rules, and local requirements
- Deciding whether a message is appropriate for your situation
- Any consequences of sending or relying on generated messages
We do not guarantee that generated messages will be accurate, lawful, compliant, enforceable, complete, or appropriate for your use case.
5. User Content
You may enter, upload, save, or provide information to ProperReply, including property details, people, message notes, desired outcomes, custom templates, saved messages, and other content (“User Content”).
You retain ownership of your User Content. By using the Service, you grant ProperReply a limited license to use, process, store, transmit, display, and generate outputs from your User Content as needed to provide, maintain, secure, and improve the Service.
You represent that you have the rights and permissions necessary to provide User Content to the Service and that your User Content does not violate the law, another person’s rights, or these Terms.
You are responsible for ensuring you have the right to enter personal information about tenants, applicants, guests, vendors, or other people into the Service. You should not enter sensitive personal information unless it is necessary for your use of the Service and lawful for you to provide.
Do not enter payment card information into message fields, notes, templates, or other non payment areas of the Service. Payment information should only be entered through our authorized payment processor.
6. Acceptable Use
You agree not to use ProperReply to create, request, send, or assist with messages that:
- Violate applicable laws, housing rules, platform rules, lease terms, or third party rights
- Discriminate or encourage discrimination based on protected characteristics, including race, color, national origin, religion, sex, familial status, disability, or other protected classes under applicable law
- Discourage, deny, or interfere with lawful housing rights, disability accommodations, or service animals
- Harass, threaten, intimidate, deceive, or impersonate another person
- Support illegal lockouts, unlawful evictions, retaliation, or illegal self help actions
- Contain false, misleading, defamatory, or fraudulent statements
- Collect information in a way that violates privacy, housing, consumer protection, or other applicable laws
- Bypass, abuse, or interfere with plan limits, message credits, security features, payment systems, or access controls
- Scrape, copy, resell, redistribute, or reverse engineer the Service, templates, prompts, or outputs to build or support a competing service
- Use automated tools, bots, scripts, or scraping methods to access, copy, or overload the Service
- Use the Service to send spam, bulk unsolicited messages, or abusive communications
- Attempt to access locked templates or premium content except through your authorized plan
We may refuse to generate content, limit access, suspend accounts, or terminate accounts if we believe a user is violating these Terms or using the Service in a harmful, unlawful, abusive, or risky way.
7. Fair Housing and Rental Decisions
ProperReply is a communication drafting tool. It is not a tenant screening tool and should not be used to make rental decisions.
You are responsible for ensuring that your rental communications and decisions comply with fair housing laws and other applicable laws. ProperReply does not verify applicants, screen tenants, recommend tenants, approve or reject applicants, or determine whether a message or decision is legally compliant.
You may not use ProperReply to draft messages that discriminate based on race, color, national origin, religion, sex, familial status, disability, or any other protected class under applicable law.
If you request content that appears discriminatory, threatening, misleading, unlawful, or otherwise unsafe, ProperReply may refuse the request or provide a safer, neutral alternative.
8. Accounts
You may need to create an account to use certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to provide accurate account information and keep it updated. You may not share, sell, or transfer your account without our permission.
We may suspend or terminate your account if we believe your account has been used in violation of these Terms, to harm the Service, or to create legal, security, or operational risk.
9. Plans, Message Credits, and Usage Limits
ProperReply offers free and paid plans. Plan features, pricing, message credits, property limits, saved people limits, templates, and other limits are described on our pricing page and may change from time to time.
Current plan structure:
Free:
- 5 messages per month
- 1 property profile
- Up to 2 saved people
- Basic templates
Pro:
- 300 messages per month
- Up to 3 property profiles
- Up to 10 saved people
- Full template library
- Saved message history
- Saved custom templates
- Favorite templates
- Quick versions and tone refinements
Landlord Plus:
- 1,000 messages per month
- Unlimited property profiles
- Unlimited saved people
- Advanced templates and higher limits
Message credits and plan limits are intended to prevent abuse and manage operating costs. We may update limits, add fair use controls, or restrict usage if we detect abuse, automated use, excessive usage, or activity that threatens the Service.
Unless otherwise stated, unused monthly message credits do not roll over.
10. Subscriptions, Billing, and Taxes
Paid plans are billed through our payment processor, Stripe. By subscribing to a paid plan, you authorize us and Stripe to charge your selected payment method for recurring subscription fees, applicable taxes, and any other charges you agree to.
Before you subscribe to a paid plan, we will show the plan price, billing frequency, included usage limits, renewal terms, and cancellation options. By subscribing, you agree that your subscription will automatically renew until you cancel.
Prices are listed in U.S. dollars unless otherwise stated. Taxes may be calculated and added at checkout.
You are responsible for keeping your billing information accurate and up to date.
You can cancel through your account settings or billing portal when available. Cancellation will generally take effect at the end of the current billing period unless otherwise stated.
11. Upgrades, Downgrades, and Cancellations
Upgrades take effect immediately when processed. If you upgrade from Pro to Landlord Plus during a billing period, Stripe may calculate a prorated adjustment or charge based on the remaining time in the billing period.
Downgrades and cancellations take effect at the end of the current billing period unless otherwise stated. If you cancel a paid subscription, you will generally keep access to the paid plan until the end of the billing period. After that date, your account will switch to the applicable lower plan or Free plan.
If your new plan has lower limits, some properties, saved people, templates, saved messages, or other features may become locked, read only, or unavailable until you upgrade again.
Cancellation or downgrade does not automatically delete your account or data. Some features, properties, saved people, templates, saved messages, or other saved items may become locked, read only, or unavailable until you upgrade again.
You can manage or cancel your subscription through the billing portal or account settings when available.
12. Refunds
Subscription fees are generally non refundable except where required by law or expressly stated by ProperReply.
We may consider refund requests on a case by case basis, but we are not obligated to provide refunds for partially used billing periods, unused message credits, failure to cancel, or dissatisfaction with generated content.
13. Trials, Promotions, and Free Plans
We may offer free plans, trials, discounts, or promotional access. We may modify or discontinue free plans, trials, promotions, or plan limits at any time, subject to applicable law.
We may limit or terminate access to free plans if we detect abuse, automated signups, excessive usage, or attempts to bypass limits.
14. Templates and Service Content
ProperReply includes templates, prompts, workflows, text, design elements, software, interfaces, logos, branding, and other content owned by us or our licensors (“Service Content”).
You may use generated message drafts and templates for your own rental communication purposes through the Service.
You may not copy, scrape, resell, redistribute, publish, reverse engineer, or use the Service Content to create, train, improve, or support a competing product or service.
You may not access locked templates or premium content except through your authorized plan. You may not attempt to bypass access controls, inspect private API responses, scrape template content, or use automated tools to collect Service Content.
15. Feedback
If you send us feedback, suggestions, ideas, requests, or recommendations, you grant us the right to use them without restriction or compensation to you.
16. Third Party Services
ProperReply may rely on third party services, including hosting providers, authentication providers, AI providers, analytics providers, email providers, and Stripe for payments.
Your use of third party services may be subject to their own terms and policies. We are not responsible for third party services, outages, errors, delays, data handling, or security incidents outside our control.
17. Privacy
Our Privacy Policy explains how we collect, use, store, and share information. By using ProperReply, you agree to our Privacy Policy.
We aim to collect only what we need, protect the information we keep, and maintain reasonable safeguards for the data we process. You are responsible for avoiding unnecessary sensitive information in your inputs and saved content.
18. Service Availability and Changes
ProperReply may be offered as a beta, early access, or evolving product. Features, templates, pricing, plan limits, availability, and functionality may change as we improve the Service.
We may modify, suspend, or discontinue any part of the Service at any time. We do not guarantee that the Service will be uninterrupted, error free, secure, or available at all times.
We may release updates, change features, modify templates, adjust plan limits, or remove features as needed to improve, secure, or operate the Service.
19. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.
To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, title, non infringement, accuracy, availability, and reliability.
We do not warrant that the Service or generated content will meet your needs, comply with any laws, avoid disputes, prevent liability, or achieve any particular outcome.
20. Limitation of Liability
To the maximum extent permitted by law, ProperReply and Fuse Studio LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, rental disputes, legal claims, tenant disputes, guest disputes, applicant disputes, deposit disputes, lease disputes, fair housing claims, or damages related to messages you send or decisions you make.
To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the amount you paid to ProperReply in the three months before the claim arose, or $100 if you have not paid us.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
21. Indemnification
You agree to defend, indemnify, and hold harmless ProperReply, Fuse Studio LLC, and our owners, employees, contractors, service providers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- Your use of the Service
- Your User Content
- Messages you generate, edit, send, or rely on
- Rental decisions, tenant communications, guest communications, applicant communications, vendor communications, or property communications you make
- Your violation of these Terms
- Your violation of any law or third party rights
- Your use of generated content in a way that causes or contributes to a dispute, claim, investigation, or legal issue
22. Termination
You may stop using the Service at any time. We may suspend or terminate your access if we believe you violated these Terms, created risk for ProperReply, failed to pay fees, abused the Service, or used the Service unlawfully.
After termination, certain provisions of these Terms will survive, including provisions related to ownership, disclaimers, limitation of liability, indemnification, and dispute resolution.
23. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, unless applicable law requires otherwise.
24. Dispute Resolution
Before filing a claim, you agree to first contact us at support@getproperreply.com and try to resolve the issue informally. We will also try to resolve disputes informally when possible.
If a dispute cannot be resolved informally, the parties agree to bring claims in the state or federal courts located in Delaware, unless applicable law requires another venue.
25. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law, such as by posting the updated Terms, updating the effective date, or notifying users through the Service.
Your continued use of ProperReply after updated Terms become effective means you accept the updated Terms.
